1) Master Service Terms (SaaS + Website Hosting)

1.1 Definitions

  • "Sytes", "we", "us", or "our": The SaaS provider operating the Sytes platform that builds and hosts AI‑assisted local business websites.
  • "Client", "you", or "your": The business or individual purchasing a Sytes plan.
  • "Platform": The Sytes multi‑tenant website generation and hosting system, templates, components, and related services.
  • "Site": The client’s generated website hosted on our infrastructure under a Sytes subdomain, unless otherwise agreed.
  • "One‑Time Payment": A single fee for the plan selected in the Order Form with no recurring subscription charges for hosting on a Sytes subdomain, subject to these Terms.
  • "Refresher": One complimentary, reasonable round of content adjustments after initial setup (e.g., swapping featured images, copy edits, minor layout tweaks using existing components). A Refresher does not include custom features or new components.
  • "Revision": Any additional content change or adjustment beyond the single included Refresher. Revisions are billed per requested round as stated in the Order Form or Section 3.3.
  • "Own Domain": A domain name owned/controlled by Client (e.g., www.yourbusiness.com).

1.2 Services

  • Build and host a Site for Client using publicly available online content provided by Client or accessible from Client’s online presence (e.g., Google Business Profile, Instagram, WhatsApp) and content supplied by Client.
  • AI‑assisted content generation and structuring into our dynamic template system.
  • Hosting on a Sytes‑provided subdomain for the length described as "Lifetime Hosting" in Section 4, subject to limitations and exceptions.

1.3 Demo and Preview

  • We may provide a temporary demo/preview link to illustrate what your Site may look like using publicly available information. The demo is illustrative only and may differ from the final Site.
  • After purchase and setup, you are entitled to one complimentary Refresher (Section 1.1) to adjust content. Any further changes are treated as Revisions (Section 3.3).

1.4 Client Responsibilities and Content Rights

  • Client represents and warrants that (a) it has all necessary rights to provide and/or authorize Sytes to use the content, images, logos, reviews, and data incorporated into the Site and (b) such use does not infringe third‑party rights or violate any platform terms (including Google or social networks) or applicable law.
  • Client remains solely responsible for the accuracy, lawfulness, and compliance of all content on the Site. Client agrees to promptly request removal or edits if any content is inaccurate or infringing.
  • Client grants Sytes a non‑exclusive, worldwide license to use, reproduce, modify, and display Client content solely to provide, maintain, and improve the Services and Platform.

1.5 Acceptable Use

  • No illegal, infringing, harmful, or deceptive content; no hate speech, harassment, or content violating third‑party terms (e.g., Google, Meta). We may suspend or remove content that violates these standards.
  • No security testing, reverse engineering, scraping, or misuse of the Platform.

2) Fees, Payment, and Revisions

2.1 One‑Time Payment (No Subscription for Subdomain Hosting)

  • The Business Essential plan is offered at a one‑time fee (e.g., AED 499 as of the current launch offer; standard AED 999), as specified in the Order Form. There are no recurring hosting fees for the Site hosted on a Sytes subdomain, subject to Section 4 (Lifetime Hosting) and Section 8 (Extraordinary Events and Changes).

2.2 Payment Timing

  • Payment is due prior to final go‑live. Go‑live occurs after (i) initial setup and (ii) completion of the single included Refresher, or Client’s written confirmation to go live earlier.

2.3 Revisions After the Included Refresher

  • One Refresher is included as part of setup (in addition to any demo preview). Each additional Revision is AED 100 per revision request/round, billed at the time of the request.
  • Revisions include reasonable content changes using existing components. Requests for new features, custom components, integrations, or complex redesigns are out of scope and may require a separate quote.

2.4 Refunds

  • Unless required by law, fees are non‑refundable once the Site goes live, or after the included Refresher is completed—whichever occurs first.

3) Hosting, Domains, and Operation

3.1 Subdomain Hosting (Default)

  • By default, your Site is hosted on a Sytes‑provided subdomain (e.g., yourbusiness.sytes.ae). SSL/TLS certificates for the subdomain are provided by us.
  • We manage the infrastructure necessary to serve the Site under the subdomain, subject to Section 6 (Service Levels) and Section 8 (Extraordinary Events and Changes).

3.2 Own Domain Option

  • If you choose to use your Own Domain, you are solely responsible for acquiring, registering, renewing, and paying for the domain and DNS services. You must configure DNS to point to our infrastructure as instructed.
  • We will use commercially reasonable efforts to enable SSL/TLS for your Own Domain, which may require DNS records you control. We are not responsible for outages caused by domain registrar, DNS configuration, certificate issuance, or renewal failures outside our control.

3.3 Content Portability

  • Upon written request, we may provide a reasonable export of your Site’s static content (text and images) as available from our system. Exports will not include our proprietary code, templates, or platform components. Fees may apply for custom export assistance.

4) "Lifetime" Hosting Explained

4.1 Intent

  • Our goal is to offer cost‑effective, long‑term hosting on a Sytes subdomain without recurring fees for the plan purchased.

4.2 Lifetime Scope

  • "Lifetime" refers to the duration the Sytes platform remains commercially viable and operational in its current or successor form under our control. Hosting is provided so long as (i) the Platform exists and (ii) none of the events in Section 8 apply.

4.3 Fair Use and Reasonable Limits

  • Hosting is subject to fair use: typical traffic for a local business website, non‑abusive usage, and no high‑risk or resource‑intensive workloads. We may rate‑limit or restrict abusive traffic.

5) Intellectual Property

5.1 Platform IP

  • Sytes retains all right, title, and interest in and to the Platform, templates, components, software, tools, designs, trade secrets, and know‑how. No rights are granted except as expressly stated.

5.2 Client Content

  • Client retains ownership of Client‑provided content. Client grants Sytes the license described in Section 1.4 for the purpose of providing the Services.

5.3 Generated/Arranged Content

  • AI‑assisted copy and structured arrangements produced for the Site are licensed to Client for use with the Site. Such materials may not be resold, sublicensed, or used to build competing services.

6) Service Levels, Support, and Maintenance

6.1 Availability

  • We aim for high availability suitable for small business websites. No formal SLA is provided under the one‑time plan. Planned maintenance or provider outages may cause temporary downtime.

6.2 Support

  • Standard support is provided via email or chat during business hours. Response times may vary. Priority support or ongoing content management can be quoted separately.

6.3 Changes and Improvements

  • We may update templates, components, and infrastructure from time to time. We will avoid breaking changes, but reserve the right to make modifications that improve performance, security, or compliance.

7) Legal Terms

7.1 Compliance and Indemnity

  • Client is responsible for ensuring the Site complies with applicable laws, platform terms, and industry regulations relevant to Client’s business.
  • Client agrees to indemnify and hold Sytes harmless from claims, damages, liabilities, costs, and expenses arising from Client content, unlawful use, or breach of these Terms.

7.2 Disclaimers

  • The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non‑infringement. We do not guarantee search rankings, customer traffic, or business outcomes.

7.3 Limitation of Liability

  • To the maximum extent permitted by law, Sytes’ total liability for any claim arising out of or relating to the Services is limited to the amount you paid for the applicable plan (e.g., AED 499 under the launch offer). We are not liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, or data loss.

7.4 Publicity

  • Unless you opt out in writing, you grant Sytes permission to reference your name, logo, and Site in our portfolio, case studies, and marketing materials.

7.5 Privacy

  • We process limited personal data necessary to deliver the Services. Our processing is subject to our Privacy Policy (to be provided or linked). Client is responsible for its own privacy disclosures and compliance for information collected through the Site.

7.6 Force Majeure

  • Neither party is liable for delays or failures caused by events beyond reasonable control, including acts of God, war, strikes, utility failures, cloud provider outages, legal or regulatory changes, or similar events.

8) Extraordinary Events, Continuity Options, and Changes to Model

8.1 Extraordinary Events

  • We reserve the right to modify, suspend, or discontinue hosting under the one‑time model if extraordinary circumstances make continued operation commercially impracticable, including but not limited to: (a) loss of control or access to key domains or subdomains, (b) significant and sustained infrastructure or compliance costs, (c) legal or regulatory requirements restricting operations, (d) catastrophic platform or provider failures, (e) security incidents requiring discontinuation.

8.2 Continuity Efforts

  • In such circumstances, we will act in good faith to provide reasonable continuity options, which may include: (i) migrating Sites to a successor domain/subdomain under our control, (ii) offering an export of static content, or (iii) proposing a transition to a subscription‑based model at fair, market‑reasonable rates.

8.3 Notice

  • Where feasible, we will provide at least 30 days’ notice prior to material changes, suspensions, or transitions under this Section. If immediate action is required to protect security, comply with law, or address emergencies, notice may occur as soon as practicable.

9) Term, Suspension, and Termination

9.1 Term

  • These Terms apply from the Effective Date and continue for so long as we host your Site, subject to Sections 4 and 8.

9.2 Suspension

  • We may suspend the Site for non‑payment of revision fees, breach of Acceptable Use, security risks, legal takedown requests, or to prevent harm.

9.3 Termination

  • We may terminate for repeated or material breach, illegal activity, or under Section 8 (Extraordinary Events). Client may terminate at any time by written notice; no refunds are due per Section 2.4.

10) General

10.1 Governing Law and Venue

  • These Terms are governed by the laws of the United Arab Emirates. Exclusive jurisdiction and venue shall lie with the courts of Abu Dhabi, Dubai, UAE, unless otherwise specified in the Order Form.

10.2 Notices

  • Notices must be sent by email to the addresses specified in the Order Form and are deemed given when sent (or when posted within the Sytes client portal, if applicable).

10.3 Assignment

  • Client may not assign these Terms without Sytes’ prior written consent. Sytes may assign to an affiliate, successor, or acquirer.

10.4 Entire Agreement; Precedence

  • These Terms and the Order Form constitute the entire agreement and supersede prior proposals. In case of conflict, the Order Form controls for commercial details; otherwise, these Terms control.

10.5 Updates to Terms

  • We may update these Terms from time to time. Material changes will be communicated to Clients with active Sites.

11) Quick Summary (Non‑binding, for convenience)

  • One‑time payment for hosting on a Sytes subdomain; no recurring hosting fees under normal conditions.
  • One complimentary Refresher included after setup; each additional revision is AED 100 per round.
  • Own‑domain option is available; Client handles domain registration, renewal, and DNS.
  • "Lifetime" hosting lasts while the Sytes platform remains operational and commercially viable. Extraordinary events may require continuity measures or a subscription transition with notice.
  • Sytes owns the platform and templates; you own your content. Standard legal protections apply (AUP, disclaimers, liability cap, force majeure).
